Eiseres zal hierna MSD worden genoemd. Gedaagden zullen hierna respectievelijk Teva, Pharmachemie en Centrafarm worden genoemd, en gezamenlijk Teva c.s. (vrouwelijk enkelvoud). De zaak wordt inhoudelijk behandeld door de advocaten voornoemd, voor MSD tezamen met mrs. K.A.J. Bisschop en S.L.A. Dusault, advocaten te Amsterdam, en voor Teva c.s. tezamen met mr. C Zeri, eveneens advocaat te Den Haag.

1 De procedure

1.1.

Het verloop van de procedure blijkt uit:

de dagvaarding van 25 april 2018, met producties 1 tot en met 9;

de op 2 mei 2018 ingekomen brief van Teva c.s. met producties 1 tot en met 9;

de op 4 mei 2018 ingekomen akte overlegging producties van MSD, met producties 10 en 11;

de op 9 mei 2018 ingekomen akte overlegging producties van Teva c.s., met producties 10 en 11;

de op 11 mei 2018 binnengekomen e-mail van MSD met daarin het proceskostenoverzicht als productie 12;

de mondelinge behandeling van 14 mei 2018;

de pleitnota van MSD; en

de pleitnota van Teva c.s.

1.2.

Ten slotte is vonnis nader bepaald op heden.

2 De feiten

2.1.

MSD is een wereldwijd opererend farmaceutisch bedrijf. Onder de merknaam Inegy® brengt MSD een geneesmiddel op de markt dat wordt voorgeschreven ter verlaging van de concentraties in het bloed van LDL-cholesterol en triglyceriden, alsmede ter verhoging van HDL-cholesterol. De werkzame stoffen in Inegy® zijn ezetimibe en simvastatine.

2.2.

Ezetimibe behoort tot een groep hydroxy-gesubstitueerde azetidinonverbindingen

waaraan de werking wordt toegeschreven dat zij de opname van cholesterol door de darm remmen en daarmee cholesterolverlagend werken. Simvastatine is een statine die één van de bij de biosynthese van cholesterol door de lever betrokken essentiële enzymen – het HMG co-enzym A reductase – remt en daarmee een daling van de cholesterolspiegel in het bloed bewerkstelligt.

2.3.

MSD was houdster van Europees octrooi 0 720 599 (hierna: ‘EP 599’ of ‘het Basisoctrooi’) met de titel ‘Hydroxy-substituted azetidinone compounds useful as hypocholesterolemic agents’ (Hydroxy-gesubstitueerde azetidinonverbindingen, bruikbaar als hypocholesterolemische middelen). Dit octrooi was van kracht tot 14 september 2014.

2.4.

De conclusies 1, 7 tot en met 9, 16 en 17 van EP 599 luiden in de oorspronkelijke Engelse taal:

2.6.

Aan MSD is, op basis van EP 599, een aanvullend beschermingscertificaat verleend onder nummer 300132 voor het product ‘ezetimibe, desgewenst in de vorm van een farmaceutisch aanvaardbaar zout’ (hierna: ‘het mono-ABC’). Het mono-ABC verliep op 16 april 2018.

2.7.

Op basis van EP 599 is aan MSD onder nummer 300172 een aanvullend beschermingscertificaat voor geneesmiddelen verleend voor het product ‘ezetimibe, desgewenst in de vorm van een farmaceutisch aanvaardbaar zout, en simvastatine’ (hierna: ‘het combinatie-ABC’). Het combinatie-ABC is geldig tot en met 1 april 2019.

2.8.

MSD heeft op 8 september 2014 op basis van EP 599 een aanvraag ingediend tot verlening van een aanvullend beschermingscertificaat voor een product omschreven als ‘ezetimibe, desgewenst in de vorm van een farmaceutisch aanvaardbaar zout, en rosuvastatine’. Het Octrooicentrum Nederland heeft deze aanvraag bij besluit van 3 mei 2016 afgewezen. Bij besluit van 28 april 2017 is het bezwaar van MSD tegen voornoemd besluit ongegrond verklaard. Het hiertegen door MSD ingestelde beroep heeft de rechtbank Den Haag bij uitspraak van de meervoudige kamer van 10 april 2018 (ECLI:NL:RBDHA:2018:4081) ongegrond verklaard. Daartoe heeft de rechtbank, voor zover thans van belang, het volgende overwogen:

4.1.

In geschil is of artikel 3 (sub a en/of c) van de Verordening eraan in de weg staat dat eiseres naast een ABC voor het monoproduct ezetimibe, een ABC voor het combinatieproduct ezetimibe en rosuvastatine verkrijgt.

4.2.

Het basisoctrooi in deze zaak ziet op een nieuwe groep azetidinonverbindingen die kunnen worden gebruikt voor de preventie van arteriosclerose en/of als cholesterol verlagende middelen. Het is deze materie die in de terminologie van Actavis/Sanofi kan worden aangemerkt als ‘the core inventive advance’ van het octrooi. Ezetimibe is één van die nieuwe verbindingen en daarmee als vernieuwende werkzame stof (‘innovative active ingredient’) aan te merken, die als zodanig (‘as such’) door EP 599 wordt beschermd.

4.3.

Cholesterol biosynthese remmers zijn in EP 599 niet als zodanig onder bescherming gesteld. Cholesterol biosynthese remmers vormen in het kader van EP 599 dan ook geen ‘innovative active ingrediënt’ en als zodanig ook niet het voorwerp (subject matter) van EP 599. Een aantal biosyntheseremmers is nader aangeduid (vgl. conclusie 17) maar (de groep(en)) biosyntheseremmers zijn in EP 599 niet gelimiteerd. Rosuvastatine wordt in EP 599 niet genoemd.

4.4.

Uit de door het HvJEU gegeven uitleg aan artikel 3 in Actavis /Sanofi en Actavis/Boeringer volgt dat in deze situatie, waarin het combinatieproduct bestaat uit enerzijds een werkzame stof die als zodanig (‘as such’) wordt beschermd door het basisoctrooi en het voorwerp (‘subject matter’) uitmaakt van de geoctrooieerde uitvinding en anderzijds uit een werkzame stof - deel uitmakend van een niet gelimiteerde groep biosyntheseremmers - die niet als zodanig wordt beschermd door datzelfde basisoctrooi en niet het voorwerp van de uitvinding vormt, geen plaats is voor verlening van een ABC voor het combinatieproduct, nu voor de eerste werkzame stof op basis van een eerdere handelsvergunning al een op hetzelfde basisoctrooi gegrond ABC is verleend. De rechtbank verwijst in het bijzonder naar par. 36-38 van Actavis/Boehringer en de verwijzing daarin naar par. 41 en 30 in Actavis/Sanofi.

4.5.

Daarbij neemt de rechtbank in aanmerking dat eiseres zich binnen de geldigheidsperiode van het eerste, op basis van EP 599 verkregen ABC voor ezetimibe, mede kon verzetten tegen het gebruik van geneesmiddelen bestaande uit een combinatie van ezetimibe met een biosyntheseremmer (waaronder rosuvastatine) voor dezelfde therapeutische toepassing. Zij heeft dus na expiratie van EP 599 reeds een aanvullende periode effectieve bescherming van haar uit dit basisoctrooi voortvloeiende rechten genoten, ook waar het gaat om het combinatieproduct (vgl. par. 35 en 40 Actavis/Sanofi).

4.6.

De beroepsgronden van eiseres hebben […] betrekking op de toets(en) en bewijsstukken die verweerder heeft gehanteerd ten aanzien van de vraag of de combinatie ezetimibe en rosuvastatine (los van ezetimibe) op uitvinderswerkzaamheid berust en of voor de combinatie een afzonderlijk octrooi zou kunnen zijn verkregen. Naar het oordeel van de rechtbank behoeft die vraag, die volgens partijen voortvloeit uit par. 42 van Actavis/Sanofi, geen bespreking. Het HvJEU heeft in par. 42 overwogen dat een ‘new basic patent, in so far as it covered a totally separate innovation’ aanspraak op een ABC zou kunnen geven, maar die situatie doet zich niet voor. Hier is aan de orde of eiseres op grond van hetzelfde basisoctrooi meerdere ABC’s kan verkrijgen door het (op basis van verschillende vergunningen) opeenvolgend in de handel brengen van de in het octrooi beschermde stof ezetimibe en combinaties van die stof met een (steeds andere) niet door het octrooi beschermde biosyntheseremmer voor dezelfde therapeutische toepassing. Gegeven de uitleg van het HvJEU, is dat in strijd met de Verordening. Verweerder heeft het ABC voor de combinatie van ezetimibe en rosuvastatine daarom terecht geweigerd. Dat verweerder in het bestreden besluit tevens is ingegaan op de uitvinderswerkzaamheid van de combinatie, maakt niet dat het bestreden besluit geen stand kan houden. De gronden van eiseres missen doel.

2.9.

Zowel Teva en Pharmachemie (als onderdelen van het wereldwijd opererende Teva-concern) als Centrafarm (onderdeel van het eveneens wereldwijd opererende Stada-concern) houden zich bezig met of zijn betrokken bij de verhandeling van generieke geneesmiddelen, waaronder de producten Ezetimibe/Simvastatine Teva respectievelijk Ezetimibe/Simvastatine CF.

2.10.

Teva c.s. heeft marktvergunningen verkregen voor generieke Ezetimibe/Simvastatine producten en deze vervolgens doen opnemen in de mei-editie van de G-Standaard, een geneesmiddelendatabank die wordt uitgegeven door Z-Index, een dochteronderneming van de Koninklijke Nederlandse Maatschappij ter bevordering der Pharmacie. Publicatie van deze editie heeft plaatsgevonden op 17 april 2018, derhalve vóór afloop van het combinatie-ABC.

2.11.

Met betrekking tot (de geldigheid van) aan het combinatie-ABC parallelle buitenlandse beschermingscertificaten zijn enkele procedures aanhangig in Frankrijk, Duitsland, Ierland, Spanje en Italië tussen MSD en onder meer diverse vennootschappen binnen de Teva- en Stada-concerns.

2.12.

In Frankrijk zijn de door MSD tegen de vennootschap S.A.S. Biogaran gevraagde voorzieningen door het Tribunal de Grande Instance de Paris bij ordonnance de référé van 5 april 2018 afgewezen. De motivering van deze beslissing luidt, voor zover thans van belang en in de onbestreden Engelse vertaling, als volgt:

[...] to obtain a second SPC from the same basic patent, the combination must not only be specified as such in a claim, but must also itself be the center of the invention.

In the Georgetown ruling, the patent in question covered several active ingredients that had been discovered and claimed; a combination of two of these active ingredients (the HPV-16 and HPV-18 combination) was also claimed and itself constituted a completely separate invention.

In the case at hand, only the compounds from the family of substituted azetidinones, including ezetimibe, are the heart of the invention, simvastatin already being known.

In the description of the patent, no test is proposed for the combination of ezetimibe and simvastatin, and while this combination indeed meets the criteria for novelty regarding patentability, it does correspond, regarding the validity of SPC no. 05C0040 [het aan het combinatie-ABC parallelle Franse aanvullend beschermingscertificaat; voorzieningenrechter], to the additional criterion defined by the ECJ that requires that the claim relative to the combination disclose the heart of the invention.

Yet this combination merely constitutes the juxtaposition of two characteristics or active ingredients, one being able to exist without the other and not requiring the implementation of the other to be carried out, which the MSD companies also admit.

The patent does not teach any advantage in taking ezetimibe and simvastatin in a same tablet compared to taking a medicinal drug containing ezetimibe alone and another medicinal drug containing simvastatin alone.

Additionally, the reading of the patent shows that the combination with cholesterol biosynthesis inhibitors was considered in the description, […]; however, no test, no study was done relative to the proposed combination, one skilled in the art also knowing the combination of a statin and a diuretic to combat hypercholesterolemia more effectively.

Thus, the proposed combination does not correspond to the heart of the invention, which only relates to compounds in the family of substituted azetidinones, including ezetimibe.

Furthermore, the two SPC applications filed by MSD before the INPI for the combination of ezetimibe with atorvastatin on the one hand and ezetimibe and rosuvastatin on the other hand were rejected last February 15 for the same reasons, the fact that SPC no 05C0040 had been granted earlier only being discussed redundantly.

Consequently, for failure to meet the second condition defined in the Georgetown ruling, namely the fact that the claimed composition is also the heart of the invention, SPC no. 05C0040 is not valid and will be declared void.

2.13.

In Duitsland heeft het Landgericht Düsseldorf bij beschluss van 3 mei 2018 in een (ex parte) procedure tussen MSD en Klinge Pharma GmbH een voorlopig inbreukverbod aan de laatstgenoemde partij opgelegd op basis van het op EP 599 gebaseerde Duitse certificaat DE 12 2004 000 026.1 voor ‘Ezetimib oder pharmazeutisch annehmbare Salze davon in Kombination mit Simvastatin’.

3 Het geschil

3.1.

MSD vordert, samengevat, bij vonnis uitvoerbaar bij voorraad, Teva c.s. ieder voor zich te verbieden om met onmiddellijke ingang na betekening van dit vonnis inbreuk te maken op het combinatie-ABC danwel daarbij betrokken te zijn, op straffe van verbeurte van een dwangsom, met nevenvorderingen, waaronder opgave, recall en rectificatie, en met hoofdelijke veroordeling van Teva c.s. in de volledige proceskosten van de procedure conform artikel 1019h Rv, daaronder begrepen de nakosten.

3.2.

Aan haar vorderingen heeft MSD het volgende ten grondslag gelegd. Op grond van het combinatie-ABC geniet MSD aanvullende bescherming voor een product dat farmaceutische samenstellingen bestaande uit de werkzame stoffen ezetimibe en simvastatine betreft. De generieke Ezetimibe/Simvastatine producten van Teva c.s. betreffen deze samenstellingen en zijn in de G-standaard gepubliceerd. Teva c.s. maakt hiermee inbreuk op het combinatie-ABC en zal daarop verder inbreuk maken, althans is er een serieuze dreiging dat zij inbreukmakende handelingen aan het uitvoeren is of binnenkort zal uitvoeren, mede omdat Teva c.s. geweigerd heeft toe te zeggen dat zij niet op de markt zal komen met generieke Ezetimibe/Simvastatine producten vóór afloop van het combinatie-ABC, althans handelt Teva c.s. onrechtmatig jegens MSD door, in strijd met hetgeen in het maatschappelijk verkeer betaamt, MSD in het ongewisse te laten over haar toekomstig handelen, als gevolg waarvan MSD schade lijdt of dreigt te lijden. Een en ander brengt mee dat MSD recht heeft op, en een spoedeisend belang heeft bij, het gevorderde inbreukverbod, het verbod op onrechtmatig handelen en de nevenvorderingen.

3.3.

Teva c.s. heeft gemotiveerd verweer gevoerd. Zij stelt zich kort gezegd op het standpunt dat het combinatie-ABC nietig is op grond van artikel 15 lid 1 sub a jo. artikel 3 (a) en 3(c) althans artikel 3(d) ABC-Vo.

3.4.

Op de stellingen van partijen wordt hierna, voor zover van belang, nader ingegaan.

4 De beoordeling

Bevoegdheid

4.1.

De vorderingen van MSD hebben betrekking op de geldigheid van en inbreuk op een in Nederland geregistreerd aanvullend beschermingscertificaat, alsmede op het faciliteren van dergelijke inbreuk in Nederland door de in Nederland gevestigde gedaagden Teva, Pharmachemie en Centrafarm. Dit brengt mee dat de rechtbank in een bodemprocedure bevoegd is op grond van artikel 4 Brussel I bis-Vo en – gelet op het beroep op de nietigheid van het combinatie-ABC – artikel 24 lid 4 Brussel I bis-Vo. Daarmee is er ook bevoegdheid voor het treffen van voorlopige voorzieningen. De relatieve bevoegdheid vloeit voort uit artikel 80 lid 2 onder a Rijksoctrooiwet 1995. Partijen hebben de bevoegdheid van de voorzieningenrechter overigens niet bestreden.

Spoedeisend belang

4.2.

Het – niet door Teva c.s. bestreden – spoedeisend belang van MSD bij haar vorderingen vloeit voort uit de door haar gestelde (dreigende) inbreuk door Teva c.s. op haar exclusieve recht op grond van het combinatie-ABC en het gesteld onrechtmatig handelen van Teva c.s. jegens MSD.

Beoordelingskader

4.3.

Dit kort geding spitst zich toe op de vraag of het door MSD aan haar vorderingen ten grondslag gelegde combinatie-ABC geldig is. Bij de beoordeling hiervan neemt de voorzieningenrechter het volgende tot uitgangspunt.

4.3.1.

Artikel 15 lid 1 aanhef en onder a ABC-Vo bepaalt onder het opschrift ‘Nietigheid van het certificaat’ dat een aanvullend beschermingscertificaat onder meer nietig is indien het in strijd met artikel 3 ABC-Vo is afgegeven. Laatstgenoemde bepaling houdt in:

Voorwaarden voor de verkrijging van het certificaat

Het certificaat wordt afgegeven indien in de lidstaat waar de in artikel 7 bedoelde aanvraag wordt ingediend en op de datum van die aanvraag:

a) het product wordt beschermd door een van kracht zijnd basisoctrooi;

b) voor het product als geneesmiddel een van kracht zijnde vergunning voor het in de handel brengen is verkregen overeenkomstig Richtlijn 2001/83/EG of Richtlijn 2001/82/EG, naargelang van het geval;

c) voor het product niet eerder een certificaat is verkregen;

d) de onder b) genoemde vergunning de eerste vergunning is voor het in de handel brengen van het product als geneesmiddel.

4.3.2.

De termen ‘product’ en ‘basisoctrooi’ in artikel 3 ABC-Vo worden in artikel 1 aanhef en onder b en c ABC-Vo gedefinieerd als ‘de werkzame stof of de samenstelling van werkzame stoffen van een geneesmiddel’ respectievelijk ‘een octrooi waardoor een product als zodanig dan wel een werkwijze voor de verkrijging van een product of een toepassing van een product beschermd wordt en dat door de houder ervan aangewezen wordt met het oog op de procedure voor de verkrijging van een certificaat’.

4.3.3.

Voor de beantwoording van de vraag of het combinatie-ABC terecht is verleend, dient een aanvullend beschermingscertificaatrechtelijke toets te worden aangelegd aan de hand van de in artikel 3 ABC-Vo neergelegde voorwaarden en de uitleg die het Hof van Justitie van de Europese Unie (hierna: ‘HvJEU’) daaraan heeft gegeven. Een tweetal beslissingen van het HvJEU die in dit verband van belang zijn betreffen: de arresten van 12 december 2013 in de zaak C-443/12, ECLI:EU:C:2013:833 (Actavis/Sanofi) en van 12 maart 2015 in de zaak C-577/13, ECLI:EU:C:2015:165 (Actavis/Boehringer).

4.3.4.

De zaak Actavis/Sanofi betrof de volgende casus. Sanofi had op grond van een basisoctrooi dat bescherming verleende voor een innovatieve werkzame stof (ibersartan) eerst een certificaat verkregen voor een geneesmiddel dat de bedoelde stof als enige werkzame stof bevatte (een zogenoemd monoproduct), en vervolgens een ander certificaat verkregen voor een geneesmiddel dat een combinatie bevatte van de bedoelde stof en een andere, op zichzelf niet door het basisoctrooi beschermde stof (hydrochlorothyiazide; een combinatieproduct). Actavis was voornemens een generieke variant van ibersartan op de markt te brengen en heeft in een door haar geëntameerde procedure tegen Sanofi de nietigheid van het certificaat voor het combinatieproduct ingeroepen. In de prejudiciële procedure die daarop volgde stond de vraag centraal of artikel 3(c) ABC-Vo aldus moest worden uitgelegd, dat het zich verzette tegen verlening van het certificaat voor het combinatieproduct. Het HvJEU verklaarde in het Sanofi-arrest (in de procestaal) voor recht dat:

In circumstances such as those in the main proceedings, where, on the basis of a patent protecting an innovative active ingredient and a marketing authorisation for a medicinal product containing that ingredient as the single active ingredient, the holder of that patent has already obtained a supplementary protection certificate for that active ingredient entitling him to oppose the use of that active ingredient, either alone or in combination with other active ingredients, Article 3(c) of Regulation (EC) No 469/2009 of the European Parliament and of the Council of 6 May 2009 concerning the supplementary protection certificate for medicinal products must be interpreted as precluding that patent holder from obtaining – on the basis of that same patent but a subsequent marketing authorisation for a different medicinal product containing that active ingredient in conjunction with another active ingredient which is not protected as such by the patent – a second supplementary protection certificate relating to that combination of active ingredients.

4.3.5.

Daartoe overwoog het HvJEU onder meer:

26 By its second question, which it is appropriate to examine first of all, the referring court asks, in essence, whether, in circumstances such as those in the main proceedings, in which, on the basis of a patent protecting an innovative active ingredient and an MA [marketing autohorisation, voorzieningenrechter] for a medical product containing that ingredient as the single active ingredient, the holder of that patent has already obtained an SPC fort hat active ingredient, Article 3(c) of Regulation No 469/2009 must be interpreted as precluding the holder of that patent from obtaining, on the basis of that same patent but an MA for a different medicinal product containing that active ingredient in combination with another active ingredient which is not protected as such by the patent, a second SPC relating to that combination of active ingredients.

[…]

28 […] the main proceedings […] entail a situation in which the same patent may be regarded as protecting a number of products within the meaning of Article 3(a) of Regulation No 469/2009, thus raising a different question from those referred in, inter alia, the cases which gave rise to the decisions in Biogen and AHP Manufacturing, namely whether such a patent may permit its holder to obtain more than one SPC.

29 In that regard, it is possible, on the basis of a patent which protects several different ‘products’, to obtain several SPCs in relation to each of those different products, provided, inter alia, that each of those products is ‘protected’ as such by that ‘basic patent’ within the meaning of Article 3(a) of Regulation No 469/2009, in conjunction with Article 1(b) and (c) of that regulation (Case C‑482/12 Georgetown University [2013] ECR, paragraph 30).

30 However, in circumstances such as those in the main proceedings, even if the condition laid down in Article 3(a) of Regulation No 469/2009 were satisfied, for the purpose of the application of Article 3(c) of that regulation, it cannot be accepted that the holder of a basic patent in force may obtain a new SPC, potentially for a longer period of protection, each time he places on the market in a Member State a medicinal product containing, on the one hand, the principle active ingredient, protected as such by the holder’s basic patent and constituting, according to the statements of the referring court, the core inventive advance of that patent, and, on the other, another active ingredient which is not protected as such by that patent.

[…]

32 In the main proceedings, Sanofi’s patent, which protects the active ingredient irbesartan as such within the meaning of Article 3(a) of Regulation No 469/2009, has already enabled its holder to obtain an SPC relating to that active ingredient. Moreover, it is common ground that hydrochlorothiazide, an active ingredient that is a member of a class of diuretics, is not protected as such by that patent or indeed by any other patent.

33 In accordance with Article 5 of Regulation No 469/2009, an SPC granted in connection with a product confers, upon the expiry of the basic patent, the same rights as were conferred by that patent in relation to the product, within the limits of the protection conferred by the basic patent, as provided for in Article 4 of the regulation. Accordingly, if, during the period in which the patent was valid, the patent holder could oppose, on the basis of his patent, the use or certain uses of his product in the form of a medicinal product consisting of such a product or containing it, the SPC granted in relation to that product would confer on the holder the same rights for all uses of the product, as a medicinal product, which were authorised before the expiry of that certificate (see the judgments in Medeva, paragraph 39, and Georgetown University and Others, paragraph 32, and the orders in University of Queensland and CSL, paragraph 34, and Daiichi Sankyo, paragraph 29).

34 Thus, in the main proceedings, since it is common ground that, during the period in which the first SPC was valid, Sanofi was entitled to oppose, on the basis of its basic patent, the use or certain uses of irbesartan in the form of a medicinal product consisting of such a product or containing it, the SPC (now expired) granted for that product also conferred on Sanofi the same rights for all uses of the product, as a medicinal product, which were authorised before the expiry of that certificate.

35 It follows that that first SPC permitted Sanofi to oppose the marketing of a medicinal product containing irbesartan in combination with hydrochlorothiazide for a similar therapeutic use to that of Aprovel, so that if one of that pharmaceutical laboratory’s competitors had marketed a medicinal product similar to CoAprovel for similar therapeutic use, Sanofi would have been able to oppose the marketing of such a product by invoking its SPC for irbesartan (see, to that effect, with regard to the use of the active ingredient valsartan and hydrochlorothiazide, the orders of 9 February 2012 in Case C‑442/11 Novartis, paragraph 23, and Case C‑574/11 Novartis, paragraph 20).

36 In such a situation, Article 13 of Regulation No 469/2009 dictates that, upon expiry of the initial SPC, the holder thereof may no longer, in connection with the basic patent used as the basis for the grant of the SPC, oppose the marketing by third parties of the active ingredient which was the subject of the protection conferred by that SPC. This means that, after that date, it must be possible for third parties to place on the market not only medicinal products consisting of the formerly protected active ingredient but also any medicinal product containing that active ingredient in combination with another active ingredient that is not protected as such by the basic patent or any other patent.

40 Bearing in mind the objective of Regulation No 469/2009, as referred to at paragraph 31 above – namely, to compensate the patent holder for the delay to the commercial exploitation of his invention by providing him with an additional period of exclusivity – first, the grant of the first SPC in respect of the single active ingredient irbesartan has already afforded the holder such compensation and, second, the objective of that regulation is not to compensate the holder fully for the delay to the marketing of his invention or to compensate for such delay in connection with the marketing of that invention in all its possible forms, including in the form of combinations based on that active ingredient.

41 It should be recalled that the basic objective of Regulation No 469/2009 is to compensate for the delay to the marketing of what constitutes the core inventive advance that is the subject of the basic patent, namely, in the main proceedings, irbesartan. In the light of the need, referred to in recital 10 in the preamble to that regulation, to take into account all the interests at stake, including those of public health, if it were accepted that all subsequent marketing of that active ingredient in conjunction with an unlimited number of other active ingredients, not protected as such by the basic patent but simply referred to in the wording of the claims of the patent in general terms, such as, in the case of the patent in the main proceedings, ‘beta-blocking compound’, ‘calcium antagonist’, ‘diuretic’, ‘non-steroidal anti-inflammatory’ or ‘tranquilizer’, conferred entitlement to multiple SPCs, that would be contrary to the requirement to balance the interests of the pharmaceutical industry and those of public health as regards the encouragement of research within the European Union by the use of SPCs.

42 It follows that, in such a situation, Article 3(c) of Regulation No 469/2009 precludes a patent holder from obtaining, on the basis of one and the same basic patent, more than one SPC in connection with irbesartan, since such SPCs would in fact be connected, wholly or in part, with the same product (see, to that effect, with regard to plant protection products, Case C‑258/99 BASF [2001] ECR I‑3643, paragraphs 24 and 27). On the other hand, if a combination consisting of an innovative active ingredient in respect of which an SPC has already been granted and another active ingredient, which is not protected as such by the patent in question, is the subject of a new basic patent within the meaning of Article 1(c) of that regulation, the new patent could, in so far as it covered a totally separate innovation, confer entitlement to an SPC for that new combination that is subsequently placed on the market.

4.3.6.

In de zaak Actavis/Boehringer was eveneens een certificaat voor een combinatieproduct aan de orde. Boehringer had dit certificaat aangevraagd (voor de innovatieve werkzame stof telmisartan en de – naar in dat geding vaststond – tot het publieke domein behorende stof hydrocholorthiazide) en de behandeling van die aanvraag vervolgens doen schorsen ten behoeve van het doorvoeren van een door het UK IPO voorgestelde wijziging van het desbetreffende basisoctrooi, namelijk het doen opnemen van een conclusie betreffende een combinatie van de zo-even genoemde stoffen. Actavis meende dat het uiteindelijk na hervatting van de behandeling van de bedoelde aanvraag verleende certificaat voor het combinatieproduct nietig was, omdat de combinatie ten tijde van de indiening van de aanvraag niet ‘als zodanig’ door het basisoctrooi werd beschermd. Het HvJEU heeft in het Boehringer-arrest voor recht verklaard (in de procestaal):

Article 3(a) and (c) of Regulation (EC) No 469/2009 of the European Parliament and of the Council of 16 May 2009 concerning the supplementary protection certificate for medicinal products must be interpreted as meaning that, where a basic patent includes a claim to a product comprising an active ingredient which constitutes the sole subject-matter of the invention, for which the holder of that patent has already obtained a supplementary protection certificate, as well as a subsequent claim to a product comprising a combination of that active ingredient and another substance, that provision precludes the holder from obtaining a second supplementary protection certificate for that combination.

4.3.7.

Hiertoe overwoog het HvJEU, voor zover thans van belang:

25 By its second and third questions, which it is appropriate to examine together and in the first place, the national court is asking, in essence, whether Article 3(a) and (c) of Regulation No 469/2009 must be interpreted as meaning that, where a basic patent includes a claim to a product comprising an active ingredient for which the holder of that patent has already obtained an SPC, as well as a subsequent claim to a product comprising a combination of that active ingredient and another substance, that provision precludes the holder from obtaining a second SPC for that combination. If that question is answered in the negative, the national court is also seeking to ascertain how the duration of the ‘combination SPC’ is to be determined, for the purpose of Article 13(1) of that regulation.

26 That question is raised in connection with an application for a second SPC for a product comprising a combination of the active ingredients telmisartan and hydrochlorothiazide. In that regard, it is common ground in the main proceedings that, in that combination, telmisartan, which is the innovative active ingredient of Boehringer’s basic patent, is the sole subject-matter of the invention. Boehringer did not, in any event, contribute to the discovery of hydrochlorothiazide, which is a molecule, within the public domain, and the claim relating tot hat substance does not constitute the subject-matter of the invention.

32 For the purposes of providing a useful answer to Questions 2 and 3, it should be noted that the expression ‘as such’, as used in Article 1(c) of Regulation No 469/2009, must be given an autonomous interpretation in the light of the objectives pursued by that regulation and the overall scheme of which that expression forms part.

33 It should be recalled in that regard, first, that it is possible, in principle, on the basis of a patent which protects several different ‘products’, to obtain several SPCs in relation to each of those different products, provided, inter alia, that each of those products is ‘protected’ as such by that ‘basic patent’ within the meaning of Article 3(a) of Regulation No 469/2009, in conjunction with Article 1(b) and (c) of that regulation (see, to that effect, judgments in Actavis Group PTC and Actavis UK, C‑443/12, EU:C:2013:833, paragraph 29, and Georgetown University, C‑484/12, EU:C:2013:828, paragraph 30).

34 Second, it should be noted that, according to recitals 4, 5 and 9 in the preamble to Directive No 469/2009, the SPC is designed to re-establish a sufficient period of effective protection of a basic patent by permitting the holder to enjoy an additional period of exclusivity on the expiry of his patent, which is intended to compensate, at least in part, for the delay to the commercial exploitation of his invention by reason of the time which has elapsed between the date on which the application for that patent was filed and the date on which the first marketing authorisation in the European Union was granted (see, to that effect, judgment in Actavis Group PTC and Actavis UK, C‑443/12, EU:C:2013:833, paragraph 31 and the case-law cited).

35 However, the Court has also held that the objective pursued by Regulation No 469/2009 is not to compensate the holder fully for the delay to the marketing of his invention or to compensate for such delay in connection with the marketing of that invention in all its possible commercial forms, including in the form of combinations based on the same active ingredient (see, to that effect, judgment in Actavis Group PTC and Actavis UK, EU:C:2013:833, paragraph 40).

36 In the light of the need, referred to, inter alia, in recital 10 in the preamble to Regulation No 469/2009, to take into account all the interests at stake, including those of public health, if it were accepted that all subsequent marketing of an active ingredient in conjunction with an unlimited number of other active ingredients which do not constitute the subject-matter of the invention covered by the basic patent would confer entitlement to multiple SPCs, that would be contrary to the requirement to balance the interests of the pharmaceutical industry and those of public health as regards the encouragement of research within the European Union by the use of SPCs (see, to that effect, judgment in Actavis Group PTC and Actavis UK, EU:C:2013:833, paragraph 41).

37 Accordingly, in view of the interests referred to in recitals 4, 5, 9 and 10 in the preamble to Directive 469/2009, it cannot be accepted that the holder of a basic patent in force may obtain a new SPC, potentially for a longer period of protection, each time he places on the market in a Member State a medicinal product containing, on the one hand, an active ingredient, protected as such by the holder’s basic patent and constituting the subject-matter of the invention covered by that patent, and, on the other, another substance which does not constitute the subject-matter of the invention covered by the basic patent (see, to that effect, judgment in Actavis Group PTC and Actavis UK, EU:C:2013:833, paragraph 30).

38 It follows that, in order for a basic patent to protect ‘as such’ an active ingredient within the meaning of Articles 1(c) and 3(a) of Regulation No 469/2009, that active ingredient must constitute the subject-matter of the invention covered by that patent.

39 In the light of the foregoing considerations, the answer to Questions 2 and 3 is that Article 3(a) and (c) of Regulation No 469/2009 must be interpreted as meaning that, where a basic patent includes a claim to a product comprising an active ingredient which constitutes the sole subject-matter of the invention, for which the holder of that patent has already obtained an SPC, as well as a subsequent claim to a product comprising a combination of that active ingredient and another substance, that provision precludes the holder from obtaining a second SPC for that combination.

4.3.8.

In de thans nog bij het HvJEU aanhangige zaak C-121/17 (Teva/Gilead) staat de vraag centraal op grond van welke criteria beoordeeld moet worden of ‘het product wordt beschermd door een van kracht zijnd basisoctrooi’ als bedoeld in artikel 3(a) ABC-Vo. In zijn conclusie van 25 april 2018 heeft Advocaat-Generaal Wathelet voorgesteld de bedoelde vraag als volgt de beantwoorden:

Article 3(a) of Regulation (EC) No 469/2009 of the European Parliament and of the Council of 6 May 2009 concerning the supplementary protection certificate for medicinal products precludes the grant of a supplementary protection certificate relating to active ingredients which are not specified in the wording of the claims of the basic patent. The fact that a substance or combination of substances falls within the scope of protection of the basic patent is a necessary, but not sufficient, requirement for it to constitute a product protected by a patent within the meaning of Article 3(a) of Regulation No 469/2009. A product is protected by a patent within the meaning of Article 3(a) of that regulation if, on the priority date of the patent, it would have been obvious to a person skilled in the art that the active ingredient in question was specifically and precisely identifiable in the wording of the claims of the basic patent. In the case of a combination of active ingredients, each active ingredient in that combination must be specifically, precisely and individually identifiable in the wording of the claims of the basic patent.

Geldigheid combinatie-ABC

4.4.

Volgens MSD is het combinatie-ABC verleend conform de in artikel 3 ABC-Vo neergelegde vereisten, omdat:

(i) EP 599 een conclusie bevat – conclusie 17 – die specifiek gericht is op de bescherming van de combinatie van ezetimibe en simvastatine, waarmee de combinatie specifiek en precies wordt vermeld en ook afzonderlijk identificeerbaar is in de bewoordingen van het Basisoctrooi; en

(ii) voor het hier aan de orde zijnde product – de combinatie ezetimibe en simvastatine – niet eerder een certificaat is verleend, terwijl dat product ‘voorwerp van de uitvinding’ is en als zodanig beschermd wordt door het Basisoctrooi, aangezien al in paragraaf [0001] van het Basisoctrooi wordt vermeld dat de uitvinding (ook) ziet op azetidinone verbindingen, zoals ezetimibe, gecombineerd met biosyntheseremmers, zoals simvastatine.

4.5.

Teva c.s. bestrijdt dat aan de vereisten van de ABC-Vo is voldaan en voert in dat verband kort gezegd aan dat:

(i) hoewel simvastatine wordt genoemd in conclusie 17 van EP 599, alléén ezetimibe als zodanig door het Basisoctrooi wordt beschermd en niet biosyntheseremmers zoals simvastatine, aangezien nergens in EP 599 onderzoeken worden beschreven of resultaten worden getoond die iets zeggen over de (verrassende of onverwachte) werking van combinaties van ezetimibe en biosyntheseremmers, laat staan voor de specifieke combinatie ezetimibe en simvastatine, terwijl reeds voor de indieningsdatum van EP 599 bekend was dat simvastatine, door het remmen van HMG CoA-reductase, de biosynthese van cholesterol remt;

(ii) voor het door EP 599 beschermde product – ezetimibe – al het mono-ABC is verleend; en

(iii) de bij de aanvrage overgelegde Nederlandse handelsvergunning niet de eerste vergunning voor dat product is.

4.6.

De voorzieningenrechter oordeelt hieromtrent als volgt.

4.7.

Het ‘product’ dat hier volgens de definitie van artikel 1 ABC-Vo aan de orde is, betreft de samenstelling van de werkzame stoffen ezetimibe en simvastatine. Aan MSD kan worden toegegeven dat, nu het eerdere mono-ABC enkel op de werkzame stof ezetimibe zag, voor dit product strikt genomen niet ‘eerder een certificaat is verkregen’ als bedoeld in artikel 3(c) ABC-Vo, zodat het combinatie-ABC naar de letter van de ABC-Vo is verleend conform het in deze bepaling neergelegde vereiste. Aan MSD kan daarbij ook worden toegegeven dat het combinatieproduct – en dit is ook niet in geschil – afzonderlijk identificeerbaar is in de bewoordingen van het Basisoctrooi, hetgeen een vereiste is in het kader van artikel 3(a) ABC-Vo.

4.8.

Uit de rechtspraak van het HvJEU volgt evenwel dat de bepalingen van de ABC-Vo moeten worden toegepast in het licht van de ratio van de ABC-Vo. In het onderhavige geval moet de verlening van het combinatie-ABC in strijd met die ratio worden geacht. Daartoe is het volgende redengevend.

4.9.

Op grond van de afstemmingsregel is de voorzieningenrechter gehouden zijn voorlopig oordeel af te stemmen op eindbeslissingen van de bodemrechter. Gesteld noch gebleken is dat een uitzondering op deze regel van toepassing is. Dat betekent dat aansluiting gezocht zal moeten worden bij de hiervoor in rov. 2.8 aangehaalde uitspraak van de rechtbank Den Haag in de bestuursrechtelijke procedure tussen MSD en het Octrooicentrum Nederland. Aan de orde in die procedure was een aanvraag ter verkrijging van een certificaat voor een combinatieproduct van ezetimibe, een in het Basisoctrooi beschermde stof voor welk monoproduct reeds een certificaat was verleend, en rosuvastatine, een biosyntheseremmer die niet specifiek in het Basisoctrooi werd genoemd. De onderhavige zaak heeft betrekking op een certificaat voor een combinatieproduct van ezetimibe – een stof die, naar niet in geschil is, door het Basisoctrooi wordt beschermd – en simvastatine, een (specifiek) in het Basisoctrooi genoemde biosyntheseremmer. Het onderhavige feitencomplex wijkt dus op twee punten af van het feitencomplex in de bestuursrechtelijke procedure: het gaat om i) een andere biosyntheseremmer, die ii) wél specifiek in het Basisoctrooi wordt genoemd.

4.10.

De voor deze zaak relevante eindbeslissingen van de bodemrechter in de meergenoemde uitspraak van 10 april 2018 laten zich als volgt samenvatten.

Ezetimibe wordt als zodanig (‘as such’) door het Basisoctrooi beschermd (rov. 4.2 van de zo-even genoemde uitspraak);

Cholesterol biosyntheseremmers worden niet ‘als zodanig’ door het Basisoctrooi beschermd (rov. 4.3);

Uit de arresten Sanofi en Boehringer volgt dat niet is voldaan aan artikel 3 ABC-Vo indien reeds een certificaat is verleend voor een monoproduct bestaande uit een werkzame stof die als zodanig wordt beschermd door het basisoctrooi en het voorwerp (‘subject matter’) uitmaakt van de geoctrooieerde uitvinding, waarna een certificaat wordt aangevraagd voor een combinatieproduct bestaande enerzijds uit bedoelde stof en anderzijds uit een werkzame stof – deel uitmakend van een niet gelimiteerde groep biosyntheseremmers – die niet als zodanig wordt beschermd door datzelfde basisoctrooi en niet het voorwerp van de uitvinding vormt (rov. 4.4);

MSD heeft na expiratie van EP 599 reeds een aanvullende periode effectieve bescherming van de uit het Basisoctrooi voortvloeiende rechten genoten, ook als het gaat om het combinatieproduct (rov. 4.5); en

Gegeven de door het HvJEU aan artikel 3 ABC-Vo gegeven uitleg, is de verkrijging door MSD op grond van hetzelfde Basisoctrooi van meerdere certificaten door het (op basis van verschillende vergunningen) opeenvolgend in de handel brengen van de in het Basisoctrooi beschermde stof ezetimibe en combinaties van die stof met een (steeds andere) niet door het octrooi beschermde biosyntheseremmer voor dezelfde therapeutische toepassing, in strijd met de ABC-Vo (rov. 4.6).

4.11.

De voorzieningenrechter ziet geen grond om in het onderhavige kort geding anders te beslissen. De omstandigheid dat deze zaak in die zin afwijkt van de zaak waarin op 10 april 2018 uitspraak is gedaan dat simvastatine uitdrukkelijk in conclusie 17 van het Basisoctrooi wordt genoemd (waar rosuvastatine in de andere zaak niet in de conclusies noch in de beschrijving van het octrooischrift wordt genoemd), leidt niet tot een ander oordeel reeds omdat blijkens rov. 4.3 dragend voor het oordeel van de bodemrechter is geweest dat cholesterol biosynthese remmers in het kader van EP 599 geen ‘innovative active ingredient’ vormen en als zodanig ook niet het voorwerp (subject matter) van het octrooi zijn.

4.12.

Nu daarmee geen sprake is van een rechtens relevante andere situatie als welke voorlag in de bestuursrechtelijke bodemprocedure, vormt hetgeen MSD overigens nog heeft aangevoerd geen aanleiding om toepassing van het afstemmingsbeginsel achterwege te laten. De voorzieningenrechter neemt daarbij mede in aanmerking dat in Frankrijk de door MSD op grond van het parallel Franse certificaat gevraagde voorzieningen zijn afgewezen, en dat er weliswaar in Duitsland een (ex parte) voorlopig inbreukverbod is uitgesproken op basis van het parallelle certificaat, maar dat daaraan geen doorslaggevende betekenis kan worden toegekend aangezien er in Duitsland een strikte scheiding van inbreuk- en nietigheidsprocedures bestaat en een andersoortige toets wordt aangelegd dan in Nederland door de voorzieningenrechter in kort geding.

Slotsom

4.13.

Het voorgaande leidt tot de slotsom dat het combinatie-ABC naar voorlopig oordeel in strijd met de ratio van de ABC-Vo is verleend en om die reden nietig moet worden geacht, zodat er een gerede kans bestaat dat de op het combinatie-ABC gegronde vorderingen in een in te stellen bodemprocedure zullen worden afgewezen. De door MSD gevraagde voorlopige voorzieningen liggen derhalve voor afwijzing gereed.

Proceskosten

4.14.

MSD zal als de in het ongelijk gestelde partij in de proceskosten worden veroordeeld.

4.15.

Teva c.s. heeft gevorderd dat MSD wordt veroordeeld in de proceskosten in de zin van artikel 1019h Rv en zij heeft haar kosten, voorzien van een onderbouwing, begroot op € 145.032,86 (exclusief griffierecht).

4.16.

MSD heeft ter zitting tegen deze kosten bezwaar gemaakt, daartoe stellende dat de kosten van Teva c.s. niet redelijk en evenredig zijn omdat deze ruim het dubbele bedragen van de door MSD gemaakte kosten (door MSD begroot op € 71.840,39), terwijl in de onderhavige procedure alleen de geldigheid van het combinatie-ABC aan de orde is en er geen andere kwesties spelen: er is geen technisch verweer gevoerd, een conclusie van antwoord is niet ingediend en er zijn geen non-inbreuk argumenten ontwikkeld. Over de door Teva c.s. ingebrachte kostenspecificatie heeft MSD voorts aangevoerd dat (a) de door Teva c.s. gemaakte kosten voor een grijsmakingszoek niet voor rekening van MSD dienen te komen omdat Teva c.s. zelf ervoor koos om deze kosten te maken voor het geval MSD om ex parte maatregelen zou verzoeken, terwijl dat laatste bepaald niet voor de hand lag en ook niet is gebeurd; (b) de specificatie van Teva c.s. doublures bevat, en (c) er kennelijk tijd is geschreven met betrekking tot andere aanvullende beschermingscertificaten dan het combinatie-ABC.

4.17.

Hiertegenover heeft Teva c.s. aangevoerd dat de specificatie geen doublures bevat omdat de geschreven tijd aanvankelijk over twee dossiers moest worden verdeeld (Teva/Pharmachemie respectievelijk Centrafarm) en er vervolgens op één dossier is geschreven toen bleek dat de belangen van de generieken parallel liepen. Verder heeft Teva c.s. betwist dat zij een ander aanvullend beschermingscertificaat heeft bestudeerd; volgens Teva c.s. zien de door MSD in dit verband bedoelde kosten op de bestudering van de meergenoemde uitspraak in de bestuursrechtelijke procedure. Teva c.s. heeft op haar beurt bezwaar gemaakt tegen de hoogte van de kosten van MSD die naar haar oordeel niet redelijk en evenredig zijn omdat partijen al verschillende keren tegenover elkaar hebben gestaan en alle argumenten allang bekend waren.

4.18.

Met betrekking tot de proceskosten wordt als volgt overwogen. De voorzieningenrechter heeft tot taak om ambtshalve te beslissen over de toewijsbaarheid van de proceskosten en de hoogte daarvan. Teva c.s. heeft niet betwist dat het niet voor de hand lag dat MSD ex parte maatregelen zou verzoeken, noch dat de in verband daarmee door haar gemaakte kosten € 16.000,- bedragen. Die kosten worden dan ook in mindering gebracht op haar opgave zodat een bedrag van € 129.032,86 resteert. In de onderhavige procedure is er weliswaar een complexe juridische discussie gevoerd over de uitleg van de ABC-Vo en de interpretatie van arresten van het HvJEU, maar zijn er geen technische verweren gevoerd en evenmin zijn er niet-inbreuk argumenten ontwikkeld. Tegen deze achtergrond acht de voorzieningenrechter de door Teva c.s. begrote kosten – ook na haar toelichting ter zitting – buitensporig en daarom niet redelijk en evenredig. Teva c.s. heeft als gezegd bezwaar gemaakt tegen de hoogte van de door MSD gemaakte kosten ad € 71.840,39, zodat het niet goed mogelijk is om bij de hoogte van dat bedrag aansluiting te zoeken ter bepaling van wat in deze zaak redelijke en evenredige kosten zijn. Mede gelet op het gebruikelijke indicatietarief voor een complex IE-kort geding (maximaal € 25.000,--) begroot de voorzieningenrechter de redelijke en evenredige kosten aan de zijde van Teva c.s. op € 40.000,-, te vermeerderen met € 618,- aan griffierecht, derhalve € 40.618,-- in totaal.

5 De beslissing

De voorzieningenrechter

5.1.

wijst de vorderingen af;

5.2.

veroordeelt MSD in de proceskosten, aan de zijde van Teva c.s. tot op heden begroot op € 40.618,--;

5.3.

verklaart dit vonnis wat betreft de kostenveroordeling uitvoerbaar bij voorraad.

Dit vonnis is gewezen door mr. J.Th. van Walderveen en bij zijn ontstentenis in het openbaar uitgesproken door mr. C.T. Aalbers op 11 juni 2018.
